CinnTech Ltd. — Terms of Service

1. Overview

This website and all associated managed IT services are operated by CinnTech Ltd. (“CinnTech,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our websites, services, and products.

By accessing our websites at cinntech.com, cinntech.ca, or cinntech.io (collectively, the “Site”), engaging our services, or purchasing products, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.

These Terms apply to all customers, subscribers, and visitors, including those using managed IT, cybersecurity, endpoint protection, cloud management, and related services provided by CinnTech.

2. Definitions

  • “Service Agreement” means any written or electronic agreement between you and CinnTech specifying the services, plans, and terms applicable to your account.
  • “Commitment Term” means the duration of your service subscription, typically twelve (12) months from the date of activation or most recent renewal.
  • “Renewal Date” means the date on which your Commitment Term renews, either monthly (for billing purposes) or annually (for commitment purposes).
  • “Managed Software” means any software agents, tools, or applications installed or configured on your devices or accounts by CinnTech as part of service delivery.

3. Service Plans

3.1 Device Shield

Device Shield is a per-device protection plan for computers and laptops. Each enrolled device receives:

  • 24/7 Threat Detection — continuous monitoring for malware, viruses, and ransomware by trained security professionals
  • Automated Maintenance — security patches and critical updates applied automatically
  • Web Filtering — protection against dangerous, malicious, or inappropriate websites
  • Remote Monitoring — proactive identification of hardware and software issues before they become emergencies

Device Shield does not include technical support or proactive maintenance beyond automated patching and monitoring. Support requests for Device Shield–only devices are available at CinnTech’s then-current hourly rate.

3.2 User Shield

User Shield plans are per-user subscriptions that protect the person — their email, identity, and cloud files — through Microsoft 365 licensing and management. User Shield is available in the following tiers:

  • CinnTech Pro — Full managed IT support including Microsoft 365 licensing, identity threat detection, email and cloud backup, proactive maintenance, and unlimited remote support. Designed for office staff, managers, and power users.
  • CinnTech Standard — Microsoft 365 licensing, identity threat detection, and email and cloud backup for tech-savvy, self-sufficient users. Technical support is available on a pay-per-incident basis at CinnTech’s then-current hourly rate.
  • CinnTech Mobile — Microsoft 365 mobile licensing, identity threat detection, and email and cloud backup for field workers and remote staff who do not require desktop applications.
  • CinnTech Teams — Microsoft Teams access with identity threat detection for warehouse, part-time, or frontline staff who do not require email or desktop applications.

All User Shield plans include basic Microsoft 365 support, including password resets, assistance with email and OneDrive, and basic staff onboarding and offboarding.

Company-wide designation: CinnTech Pro or CinnTech Standard is selected on a company-wide basis and cannot be mixed within an organization. CinnTech Mobile and CinnTech Teams plans may be added for individual users as needed.

Current features, inclusions, and pricing for all plans are listed on the Site and may be updated from time to time.

3.3 Hardware Sales

CinnTech sells computers, laptops, and related hardware. All hardware is sold subject to the manufacturer’s warranty terms and conditions. CinnTech is not the manufacturer or warranty provider. CinnTech may assist with warranty coordination as a courtesy, but the client is responsible for contacting the manufacturer directly for all warranty claims, repairs, or replacements. 3.4 Project Work and One-Time Services

CinnTech may provide project-based work, consulting, or one-time services outside the scope of subscription plans. Such work is scoped and quoted separately and billed upon completion or per the agreed schedule. Project work and one-time labour charges are non-refundable once work has commenced.

4. Third-Party Services

CinnTech’s services rely on third-party vendors, software platforms, and cloud providers to deliver critical components including cybersecurity protection, endpoint monitoring, patch management, cloud storage, backup, email hosting, identity protection, and password management.

CinnTech acts as a reseller and management partner for certain business solutions, including Microsoft 365 licensing and administration. These services may include account provisioning, configuration, monitoring, and support as part of your subscription plan.

Each third-party provider operates under its own terms of service, service level agreements, and privacy policies, which govern their respective products. CinnTech has no control over these providers’ internal systems or policies and cannot guarantee their availability, uptime, data retention, or security performance.

While CinnTech selects and partners with reputable technology providers, CinnTech shall not be held liable for any loss, data breach, downtime, or damages arising directly or indirectly from the actions, omissions, or failures of any third-party vendor. Your continued use of our services constitutes acknowledgment of and agreement to these limitations.

CinnTech continually evaluates its technology stack and may modify, add, or replace specific technology partners and integrations at any time to improve functionality, enhance security, or maintain service continuity. CinnTech will ensure that any substituted vendors provide equivalent or superior functionality and data protection standards. Such changes do not diminish the overall scope or quality of services provided to you.

5. Service Scope and Limitations

CinnTech provides monitoring, detection, management, and advisory services designed to reduce risk and improve IT operations. However, no system can guarantee absolute security or prevention of all cyber incidents.

Incident remediation assistance is limited to the scope of your service plan and Service Agreement. You remain responsible for maintaining backups beyond those provided by your plan, applying vendor updates when directed, and following CinnTech’s recommendations.

CinnTech’s services are limited to the devices, users, and systems enrolled in your active plan. Devices or users not covered by an active subscription are not monitored, managed, or protected by CinnTech.

6. Subscriptions, Billing, and Payment

6.1 Commitment Term

All managed service subscriptions (Device Shield and User Shield) are provided on an annual commitment basis with a minimum Commitment Term of twelve (12) months. Commitment Terms automatically renew for successive twelve-month periods unless cancelled in accordance with Section 10 of these Terms.

6.2 Payment Options

Payment is available in two options:

  • Monthly billing: Charges are billed automatically on a recurring monthly basis via the payment method on file.
  • Annual billing: The full annual amount is billed upfront at the start of the Commitment Term. Annual billing may be offered at a discounted rate as listed on the Site.

All charges are processed automatically through our billing platform. It is your responsibility to maintain a valid payment method on file.

6.3 Payment Terms

  • All charges are due at the start of each billing period.
  • Late or failed payments may result in suspension or termination of services after reasonable notice.
  • If services are suspended due to non-payment, reactivation may be subject to a reconnection fee.
  • CinnTech reserves the right to charge interest on overdue amounts at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less.

6.4 Pricing Changes

CinnTech may adjust pricing and service tiers with thirty (30) days’ written notice prior to your next Commitment Term renewal. Price changes take effect at the start of your next Commitment Term. Continued use of services after a price change constitutes acceptance of the new pricing.

6.5 Mid-Cycle Changes

Additions and removals of devices or users are aligned with your monthly billing renewal date:

  • Additions: Devices or users added before your next monthly renewal date will be invoiced separately for the pro-rated amount covering the period from the date of addition to your next renewal date. The added devices or users will then be included in your regular billing from the next renewal date forward.
  • Removals: Reductions in devices or users take effect at your next monthly renewal date. No pro-rated credits or refunds are issued for the current billing period, as administrative and licensing obligations have already been incurred.

6.6 Additional Charges

Charges outside your subscription plan — including but not limited to hourly support, project work, hardware purchases, and transition assistance — are invoiced separately and are not processed through the subscription billing platform. Payment terms for invoiced charges are net fifteen (15) days unless otherwise agreed in writing.

7. Your Responsibilities

You agree to:

  • Maintain secure access to your systems, accounts, and credentials.
  • Use services only for lawful business purposes.
  • Provide accurate, current information and keep it up to date.
  • Notify CinnTech promptly of any security breaches, unauthorized access, or changes to your environment that may affect service delivery.
  • Ensure all devices enrolled in a plan remain accessible for monitoring, patching, and maintenance.
  • Follow CinnTech’s reasonable recommendations regarding security practices and system configuration.

You are solely responsible for:

  • The configuration and operation of your own systems beyond the scope of your service plan.
  • Data stored on your infrastructure, except where backup services are explicitly included in your plan.
  • Compliance with applicable laws and regulations, including data protection and privacy laws.
  • Ensuring that all users in your organization are aware of and comply with acceptable use policies.

8. Disclaimers

All services are provided “as is” and “as available.”

CinnTech, its officers, employees, and partners make no warranties — express or implied — regarding:

  • Uninterrupted or error-free operation of any service or system.
  • The detection, removal, or remediation of all malware, cyber threats, or vulnerabilities.
  • Compliance with specific regulations or industry standards.
  • Fitness for a particular purpose or merchantability.
  • The performance, availability, or reliability of any third-party platform or vendor.

You acknowledge that certain third-party vendors act as independent processors of system or telemetry data, and that their warranties and service level agreements govern their own service performance.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • CinnTech, its affiliates, officers, employees, and its third-party vendors shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profit, data, revenue, business continuity, or goodwill.
  • CinnTech’s total cumulative liability for any claim arising out of or related to these Terms or your use of services shall not exceed the total fees paid by you to CinnTech for the affected service during the three (3) months immediately preceding the incident giving rise to the claim.

You acknowledge that you remain responsible for data integrity, backups (beyond those included in your plan), and compliance obligations. This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

10. Termination

10.1 Non-Renewal

Either party may elect not to renew the Commitment Term by providing written notice at least thirty (30) days prior to the annual Renewal Date. If timely notice is provided, services will continue until the end of the current Commitment Term and will not renew.

If notice is not received at least thirty (30) days before the Renewal Date, the Commitment Term automatically renews for an additional twelve (12) months.

10.2 Early Termination

If you wish to terminate services before the end of your current Commitment Term, you may do so by providing written notice to CinnTech. Early termination is subject to an early termination fee equal to fifty percent (50%) of the remaining monthly fees through the end of the current Commitment Term.

Upon payment of the early termination fee, services will end at the conclusion of the current monthly billing period following thirty (30) days from the date of written notice.

For clients on annual prepaid billing, the early termination fee is calculated as 50% of the remaining monthly value of the Commitment Term. No refund is issued for the prepaid portion already consumed.

10.3 Termination for Cause

CinnTech may suspend or terminate services immediately if:

  • You breach any material term of these Terms or your Service Agreement.
  • Payment remains outstanding for more than thirty (30) days past due.
  • Your use of services poses a security risk to CinnTech or other clients.

10.4 Post-Termination Obligations

Upon termination or non-renewal of services:

  • Managed Software Removal: CinnTech will remotely uninstall or deactivate all managed software agents, monitoring tools, and security applications from your devices at the end of your service period. You must ensure devices are accessible for this process. Any managed software remaining on your devices after termination is unauthorized, and CinnTech accepts no responsibility for its continued operation.
  • Microsoft 365 Handoff: If CinnTech manages your Microsoft 365 environment, CinnTech will provide you with a Global Administrator account and remove CinnTech’s management access, backup agents, and administrative credentials. You are responsible for purchasing Microsoft 365 licensing directly from Microsoft or through another provider following the handoff. CinnTech is not responsible for any disruption to your Microsoft 365 services after management access has been transferred.
  • Transition Assistance: CinnTech will provide access credentials and basic account information as part of the standard offboarding process at no additional charge. If you require CinnTech to coordinate with a new provider, provide detailed documentation, or perform additional transition work, such assistance will be billed at CinnTech’s then-current hourly rate.
  • Outstanding Balances: All invoices must be paid in full prior to or upon termination. Termination does not relieve you of the obligation to pay any amounts owing.

11. Indemnification

You agree to indemnify, defend, and hold harmless CinnTech, its officers, employees, agents, and vendors from any claims, losses, liabilities, or damages — including reasonable legal fees — arising out of:

  • Your breach of these Terms or your Service Agreement.
  • Your misuse or misconfiguration of services, systems, or devices.
  • Your violation of any applicable law or regulation.
  • Any claim by a third party related to your use of CinnTech’s services.

CinnTech shall not be responsible for any warranties or representations you make to your own clients, employees, or third parties beyond what is explicitly stated in these Terms or your Service Agreement.

12. Modifications to Terms and Services

CinnTech reserves the right to modify these Terms, service offerings, third-party integrations, or platform components at any time. Material changes to these Terms will be communicated with reasonable notice. Continued use of services after changes are posted constitutes acceptance of the modified Terms.

13. Publicity

Unless otherwise requested in writing, CinnTech may identify your business as a client in marketing materials, case studies, or client lists.

14. Governing Law

These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal proceedings shall be brought exclusively in the courts of the Province of Ontario, Canada.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and CinnTech regarding the subject matter herein and supersede all prior agreements, representations, and understandings.
